Terms of Use

Your access to and use of the Safran Vectronix AG (“Vectronix” or “we”) owned websites and pages as well as software, tools and apps, the latter exclusively downloadable from Apple App Store and Google Play Store by accepting the terms of use of such web stores, (collectively all of them also referred to as the “Vectronix Digital Platform”) is subject to the following terms of use (“Terms of Use”) and all applicable laws.

By using the Vectronix Digital Platform, you (hereinafter also referred to as the “User”) acknowledge that these Terms of Use apply without limitation or qualification and that access is granted to you under the condition of your compliance with and acceptance of all provisions of these Terms of Use as well as of your agreement to the Vectronix Privacy Policy.

Please read these Terms of Use and the Privacy Policy carefully and every time you visit/use the Vectronix Digital Platform, as they are subject to change.

1. Description of Service and Liability Disclaimer

These Terms of Use together with the Privacy Policy constitute the entire provisions regarding access and use of the Vectronix Digital Platform and supersede any prior version. Be aware that you may also be subject to additional terms and conditions while using external services, third parties linked websites or content, apps or software. Vectronix may at any time revise these Terms of Use by updating this document. You are bound by any such revisions and should therefore periodically visit this page to review the Terms of Use to which you are currently bound. The failure of Vectronix to exercise or enforce any right or provision of the Terms of Use shall not constitute a waiver of such provision. Your use of the Vectronix Digital Platform shall be governed in all respects by the laws of Switzerland, without regard to choice of law provisions, and not by the 1980 U.N. Convention on contracts for the international sale of goods. You agree that jurisdiction over and venue in any legal proceeding directly or indirectly arising out of or relating to the Vectronix Digital Platform shall be in the ordinary courts at the place of business of Vectronix in Heerbrugg, Switzerland. Neither the course of conduct between the parties nor trade practice shall act to modify any of these Terms of Use. Vectronix may assign its rights and duties under these Terms of Use to any party at any time without notice to you. Vectronix makes no representation that materials in the Vectronix Digital Platform are appropriate or available for use in other locations, and access to them from territories where their content is illegal or prohibited. Those who choose to access and use the Vectronix Digital Platform from locations outside Switzerland do so on their own initiative and are responsible for compliance with all applicable laws. You may not use or export the materials in violation of any export laws and regulations.

All information and content (including but not limited to recommendations, advice, calculations, specifications, data sheets, configurations, marketing material, brochures, manuals, financial information, share value, videos, images) published on the Vectronix Digital Platform, including therefore any software tools and/or apps, and any results or other output generated through such software or apps, is provided “as is” and “as available” without any representation or warranty of any kind (whether express or implied), including but not limited to warranties of correctness, completeness, accuracy, fitness for a particular purpose or non-infringement of any third party rights. Use of the Vectronix Digital Platform, as well as its information and content, is at the User’s own risk. Any information and content contained therein may be changed or deleted by Vectronix at any time, without any notification to the User; therefore, the User should not rely on the availability of the Website or any part thereof.

To the maximum extent permitted by applicable law, Vectronix shall not be liable for loss or damage of any kind (including but not limited to loss of profit, loss of use, loss of data or information, or any direct, indirect, incidental or consequential damages) suffered by the User or any other party in connection with or arising out of the use of or access to the Vectronix Digital Platform, or information or content contained therein regardless of the factual grounds or legal basis of such loss or damage, including but not limited to contract, tort (including negligence), indemnity, warranty, strict liability or otherwise.

You may print or download material owned by Vectronix, which may be freely printed or downloaded from the Vectronix Digital Platform, for non-commercial, personal use only, provided you also retain all copyright and other proprietary notices contained on such material. You may not, however, sell, reverse engineer, distribute, modify, transmit, reuse, repost, use, or create derivative works based on the content of the Vectronix Digital Platform in whole or in part for any purpose, without written permission from Vectronix as owner of such content.

2. Vectronix Privacy Policy

The processing of the personal data that you submit and that Vectronix collects, and the procedures applied for analyzing the use of the Vectronix Digital Platform are further described in the separate Privacy Policy, which is considered as integral part of the present Terms of Use and that can be accessed by using the following link: Privacy Policy.

3. Intellectual Property Rights

Any and all content (including but not limited to text, graphics, images, pictures, logos, icons, software, apps, etc.) as well as all trademarks and tradenames on the Vectronix Digital Platform are protected by copyright, trademark and/or other intellectual and industrial property rights, and all such rights remain reserved (hereinafter referred to also as “IP Rights”). The Vectronix Digital Platform’s individual elements are in the exclusive property of Vectronix. Unless expressly authorized in writing by Vectronix, the IP Rights may only be used for the User’s own, internal documentation purposes concerning Vectronix, its products and services, and only with the copyright notices remaining intact. By saving or reproducing software or other data from the Vectronix Digital Platform, the present Terms of Use are deemed as accepted.

Images of people or places displayed on the Vectronix Digital Platform are either the property of or used with permission by Vectronix. The use of these images by you is prohibited unless specifically permitted by Vectronix in writing. Any unauthorized use of the images may violate IP Rights, privacy or publicity or other regulations.

Any kind of replication, transmission (electronically or by other means), modification, linking, or use of the Vectronix Digital Platform or its content is permitted only with the express written prior authorization of Vectronix.

Furthermore, it is prohibited to use automatic tools such as for example Spider or Crawler, designed to systematically and automatically copy, reproduce, broadcast, or otherwise transmit the Vectronix Digital Platform’s content. Vectronix explicitly reserves the right to take action against the responsible User, namely to claim compensation for damages.

4. Use of Material

Any communication or material you transmit to the Vectronix Digital Platform by electronic mail or otherwise, including any data, questions, comments, suggestions or the like is, and will be treated as, non-confidential and non-proprietary. By transmitting or posting anything you grant Vectronix an irrevocable, worldwide, royalty-free non-exclusive license to reproduce, modify, adopt and publish such materials, in whole or in part for any purpose, including, but not limited to, reproduction, disclosure, transmission, publication, broadcast and posting in any media now known or later developed. Furthermore, Vectronix is free to use any ideas, concepts, know-how, or techniques contained in any communication you send to the Vectronix Digital Platform for any purpose whatsoever including, but not limited to, developing, manufacturing and marketing products or services using such information. Through your usage of the Vectronix Digital Platform, you may submit and/or Vectronix may gather certain limited information about you and your usage subject to the Vectronix Privacy Policy.

5. Links and Advertisers

Vectronix has not reviewed any or all of the sites linked to the Vectronix Digital Platform and is not responsible for the content of any off-site pages or any other sites linked thereto. Your linking to such sites, off-site pages or other sites is at your own risk and without the recommendation, endorsement or liability of Vectronix. Your correspondence or business dealings with or participation in promotions of advertisers found on or through the external sites, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings are solely between you and such advertisers. Vectronix shall not be liable for any loss or damage of any sort incurred as the resort of any such dealings or the result of the presence of such advertisers on the Vectronix Digital Platform. We welcome back-links to Vectronix websites by establishing a hypertext link, under the condition that such back-link as well as the external website does not state or imply any sponsorship, endorsement or affiliation or any other contractual relationship with Vectronix.

6. User Conduct

You are prohibited from violating or attempting to violate the security of the Vectronix Digital Platform, including, without limitation, (a) accessing data not intended for User or logging into a server or account which you are not authorized to access, (b) attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization, (c) attempting to interfere with service to any user, host or network, including, without limitation, via means of submitting a virus to the Vectronix Digital Platform, overloading, “flooding,” “spamming,” “mail-bombing” or “crashing,” (d) sending unsolicited emails, including promotions and/or advertising of products or services, or (e) forging any TCP/IP packet header or any part of the header information in any email or newsgroup posting. Violations of system or network security may result in civil or criminal liability. Vectronix will investigate occurrences, which may involve such violations and may involve, and cooperate with, law enforcement authorities in prosecuting users who are involved in such violations.

7. International Use

Software and other materials from the Vectronix Digital Platform may also be subject to export controls of Switzerland, the United States and/or such other country whose export restriction may apply. Export Control laws prohibit the export of certain technical data and software to certain territories. No technical data, software and no app from the Vectronix Digital Platform may be downloaded or exported to any such countries, companies and/or individuals that may be subject to any export restriction. Vectronix does not authorize the downloading or exportation of any software, app or technical data from its websites to any jurisdiction prohibited by Export Laws.

8. Termination

Vectronix reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Vectronix Digital Platform (or any part thereof) with or without notice for any reason or no reason whatsoever. You agree that Vectronix shall not be liable to you or any third party for any of such modifications, suspensions or discontinuances.

9. Notices and Procedures for Making Claims of Copyright Infringement

Notifications of claimed copyright infringement should be sent to the address set out below. ALL INQUIRIES NOT RELEVANT TO OR NOT COMPLYING WITH THE FOLLOWING PROCEDURE WILL RECEIVE NO RESPONSE. Vectronix respects the intellectual property rights of others and requests all Users to do the same. Vectronix will process and investigate notices of alleged infringement and will take appropriate actions under any applicable intellectual property laws. Upon receipt of notices, Vectronix will act to remove or disable access to any material found to be infringing or found to be the subject of infringing activity and will act to remove or disable access to any reference or link to material or activity that is found to be infringing.

If you believe that your work has been copied in a way that constitutes copyright infringement, please provide Vectronix the following information. Please be advised that to be effective, the notification must include ALL of the following:

a physical or electronic signature of the person authorized to act on behalf of the owner of an exclusive copyright that is allegedly infringed;
a description of the copyrighted work that you claim has been infringed;
a description of where the material that you claim is infringing is located on the Vectronix Digital Platform;
your address, telephone number, and email address and all other information reasonably sufficient to permit Vectronix to contact you;
a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
a statement by you, made under penalty of perjury, that the above information in your Notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
please include “Notice of Infringement” in the subject line.
